The term fusion, in Italian commercial law, means the unification of two companies which merge into one. The merger can take place both with one company incorporating the other, but also with the creation of a new corporate centre.
The purpose of the merger is precisely to create a strong synergy and to unite two companies or companies. On the other hand, the concept of acquisition is different, which provides that one company purchases another and becomes the owner of another.
In this case a synergy or anything else is not required, but simply a company buying the shares of another controls it.
The mergers and the acquisitions are two very common and frequent operations in the panorama of commercial law in general and companies are often subject to this type of operation.
